Ripple, the company behind the XRP cryptocurrency, is pushing for changes to proposed U.S. Securities and Exchange Commission rules governing digital assets. The move comes after Ripple spent years fighting the SEC in court over whether XRP should be classified as a security, a battle that shaped how the entire industry thinks about crypto regulation.
The SEC has been developing a new regulatory framework for crypto assets. Ripple, drawing on its experience as a defendant in one of the most closely watched crypto legal cases in U.S. history, submitted comments to the agency asking for modifications to how the proposed rules would apply to digital-asset companies. According to reports covering Ripple’s engagement with the SEC rulemaking process, the company is seeking clearer definitions and more workable compliance standards than those currently proposed. For related coverage, see ChangeNOW vs Changelly 2026: Rates, KYC, and Fiat Compared.
How Ripple’s Legal Battle Shapes Its Position
The SEC first sued Ripple Labs in December 2020, claiming the company had conducted an unregistered securities offering by selling XRP tokens. The lawsuit put the legal status of one of the largest cryptocurrencies by market value in doubt for years.
In July 2023, U.S. District Judge Analisa Torres issued a landmark ruling in the case. She found that XRP sales on public cryptocurrency exchanges to retail investors did not constitute securities transactions. However, she ruled that Ripple’s direct institutional sales of XRP to sophisticated investors did qualify as securities offerings.
That split decision was significant for the broader industry. It was the first major court ruling to draw a clear line between different types of crypto token sales and how securities law applies to each. Ripple emerged from the case with a partial win and a detailed understanding of where regulators draw these lines.
Now, as the SEC proposes formal rules for crypto, Ripple is using that hard-won knowledge to argue for a framework that reflects the technical realities of how digital assets actually work. The company’s argument, in essence, is that blanket rules written for traditional securities markets do not map cleanly onto decentralized tokens traded on public exchanges.
What the Proposed Rules Could Mean for Crypto Firms
The proposed SEC rules, if adopted in their current form, could significantly affect how crypto businesses in the United States structure their operations and comply with disclosure requirements. Firms that issue tokens, run exchanges, or facilitate digital-asset transactions could all face new compliance obligations.
Ripple’s concern is that rules designed without input from companies that have actually litigated these questions in court could create confusion rather than clarity. Poorly defined rules can lead to inconsistent enforcement, which hurts smaller firms most because they lack the legal resources to fight ambiguous charges.
For XRP specifically, any regulatory outcome remains contingent on what final rules the SEC adopts. The rulemaking process allows for public comment, meaning the agency can revise proposals before they become binding. Ripple’s submission is part of that formal process, not a guarantee of any particular outcome.
Ripple has also been active in building out its broader product and partnership strategy while pursuing policy goals. The company recently agreed with Cross River on integrating its RLUSD stablecoin into core banking infrastructure, a move that puts its regulated digital dollar product into more traditional financial systems. It has also partnered with Stripe’s Privy to enable XRP payments in consumer apps, expanding XRP’s real-world utility while the regulatory picture develops.
Those commercial steps matter in the policy context. Ripple can point to live, compliant use cases when arguing that overly restrictive rules would harm functioning financial products, not just speculative trading.
What This Means for XRP Holders
For people who hold XRP or are considering it, the most practical takeaway is that U.S. crypto regulation is still being written. The SEC’s proposed rules are not final. The comment process, which Ripple is now participating in, exists precisely so that industry participants can flag problems before rules take effect.
Ripple’s engagement in rulemaking is a sign that the company is betting on a regulated future for crypto rather than operating in a gray area. That is generally a positive signal for long-term holders, though it says nothing about short-term price direction. Any investor should treat proposed regulatory outcomes as uncertain until final rules are published and courts have had a chance to interpret them.
The ongoing development of XRP Ledger embedded wallets through Ripple’s partnership with Privy shows the project continuing to build infrastructure regardless of where the regulatory debate lands. That combination of legal engagement and product development reflects how major crypto projects are navigating the current U.S. regulatory environment.
The SEC’s comment window gives companies, developers, and everyday crypto users a formal channel to shape how digital assets are governed. Ripple’s participation, shaped directly by its years in court, adds a unique voice to that process.
